Acceptance of Terms

By accessing or using Boreal (the "Service"), available at borealtrader.ca and associated subdomains, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Boreal ("Boreal," "we," "us," or "our"), operated from Alberta, Canada.

By clicking "I agree," completing registration, or otherwise using the Service, you represent that you have read, understood, and agree to these Terms and our Privacy Policy.

Description of Service

Boreal is an educational and research software platform that allows users to:

The Service is provided for educational, research, and informational purposes only. Boreal does not execute trades, manage funds, hold securities, or provide brokerage services.

The data used in Boreal's backtesting engine includes synthetic price data modelled on Canadian ETF characteristics, and may include real historical data via third-party providers. Synthetic data is generated using statistical models and does not represent actual historical prices. All backtest results are simulated and hypothetical.

Not Financial Advice

Important: Boreal is NOT a registered investment advisor, portfolio manager, financial planner, or dealer under any applicable Canadian securities legislation, including the Securities Act (Alberta), the Securities Act (Ontario), or any equivalent provincial legislation. Boreal is not registered with or regulated by the Canadian Investment Regulatory Organization (CIRO), the Alberta Securities Commission (ASC), the Ontario Securities Commission (OSC), or any other securities regulator.

Nothing on the Service constitutes financial advice, investment advice, trading advice, or any other type of advice. The Service does not recommend that any security should be bought, sold, or held. Any strategy parameters, backtest results, AI suggestions, performance metrics, or other content on the Service are provided solely for educational and research purposes.

To use the Service, you must:

The Service is intended primarily for Canadian residents, though users from other jurisdictions may access it subject to their local laws. If you are accessing the Service from outside Canada, you are responsible for compliance with your local laws.

Accounts and Registration

Some features of the Service require account registration. When you create an account, you agree to:

You may not share your account credentials with any third party or allow others to access the Service through your account. We reserve the right to suspend or terminate accounts that we believe have been shared or transferred.

Subscription Plans and Billing

Plans

Boreal offers the following subscription tiers:

Billing

Paid subscriptions are billed monthly in advance through Stripe, our third-party payment processor. By providing payment information, you authorize Stripe to charge your payment method on a recurring basis until you cancel.

All prices are in Canadian dollars (CAD) and exclude applicable taxes. GST/HST may be added where required by law.

Price Changes

We reserve the right to change subscription prices with at least 30 days' written notice via email. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Free Trial

Paid plans may include a free trial period as specified at the time of signup. During the free trial:

To avoid being charged, you must cancel your subscription before the trial period ends. Cancellation instructions are available in your account settings.

Cancellation and Refunds

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at hello@borealtrader.ca. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have paid.

Refunds

We offer a 30-day money-back guarantee on your first payment for any paid plan. If you are not satisfied within 30 days of your first charge, contact us and we will issue a full refund with no questions asked.

After the initial 30-day period, subscription payments are non-refundable except where required by applicable law. Partial refunds for unused portions of a billing period are not provided.

Acceptable Use

You agree not to use the Service to:

Intellectual Property

The Service and all content, features, and functionality — including but not limited to text, graphics, logos, button icons, software, and the compilation thereof — are owned by Boreal and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your personal, non-commercial research and educational purposes in accordance with these Terms.

You retain ownership of any data or content you input into the Service. By inputting data, you grant us a limited licence to process that data solely to provide the Service to you.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

Backtesting has inherent limitations. Simulated results do not account for slippage, liquidity constraints, broker fees, taxes, emotional decision-making, or market impact. Actual trading results will differ from backtested results, potentially significantly.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOREAL AND ITS OPERATORS, AFFILIATES, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Our total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) $100 CAD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Boreal and its operators, affiliates, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, non-payment, or conduct we determine to be harmful to other users or the Service.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimer of warranties, limitation of liability, and indemnification — shall survive.

You may terminate your account at any time by contacting us. We will process termination requests within 5 business days.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Calgary, Alberta under the Arbitration Act (Alberta), except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Boreal.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service and cancel your subscription before the effective date.
